1. Acceptance of Terms
By accessing or using the Sam Branding Agency website (sambrandingagency.com) or engaging our services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services. These terms apply to all visitors, clients, and others who access or use our services.
2. Services
Sam Branding Agency provides branding, design, strategy, and consulting services. Specific terms for individual client engagements are set out in separate service agreements or statements of work ("SOW"). In case of conflict between these Terms and a signed SOW, the SOW shall prevail.
3. Intellectual Property
All content on this website, including text, graphics, logos, and images, is the property of Sam Branding Agency or its content suppliers and is protected by applicable intellectual property laws. Upon full payment of agreed fees, ownership of final creative deliverables produced for clients transfers to the client as specified in the relevant SOW. Working files, concepts, and preliminary works remain the property of Sam Branding Agency unless otherwise agreed in writing.
4. Client Responsibilities
Clients are responsible for providing accurate, complete, and timely information required for the delivery of services. Delays caused by the client may result in revised timelines and may incur additional charges. Clients warrant that any materials they provide do not infringe upon any third-party intellectual property rights.
5. Payment Terms
Payment terms are as set out in the relevant proposal or SOW. Unless otherwise agreed, a deposit of 50% is required before work commences. Remaining payments are due upon project milestones or completion as specified. Invoices not paid within 30 days of the due date may incur a late payment fee.
6. Revisions and Approvals
The number of revision rounds included in any project is as specified in the SOW. Additional revisions beyond the agreed scope will be charged at our standard hourly rate. Client approval at each project milestone is required before proceeding to the next phase. Verbal approvals will be followed up in writing.
7. Confidentiality
Both parties agree to keep confidential any proprietary information disclosed during the project. This includes but is not limited to business strategies, client lists, financial information, and creative concepts not yet released. This obligation shall survive the termination of any agreement.
8. Limitation of Liability
To the maximum extent permitted by law, Sam Branding Agency shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services or website. Our total liability in connection with any service shall not exceed the total fees paid by the client for the relevant project.
9. Termination
Either party may terminate a project engagement by providing written notice as specified in the relevant SOW. In the event of termination, the client shall pay for all work completed up to the termination date. Deposits are non-refundable unless termination is due to our material breach.
10. Governing Law
These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising shall be resolved through good-faith negotiation first, and if unresolved, through binding arbitration.
11. Changes to Terms
We reserve the right to modify these Terms at any time. Continued use of our website or services following any change constitutes your acceptance of the revised Terms. We recommend reviewing these Terms periodically.
